<p>Welcome to <strong>AceOfDiamondsMusic.com</strong> (“we,” “our,” “us,” or “the Site”). By accessing or using our
website, products, or services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Site.</p>
<h2>1. General Use</h2>
<p>The Site provides digital music products and services (including beat licenses, downloads, mixing/mastering), entertainment services
(including gaming tournaments), informational/educational content (including stock market alerts), and information about cryptocurrency
utilities within our ecosystem. The Site and all content are provided “as is” and “as available,” without warranties of any kind,
whether express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement.</p>
<p><strong>Accounts & Security.</strong> If you create an account, you are responsible for maintaining the confidentiality
of your credentials and for all activity under your account.</p>
<p><strong>Prohibited Conduct.</strong> You agree not to misuse the Site, including (without limitation) engaging in fraud,
abuse, scraping, reverse engineering, interference, or any unlawful activity.</p>
<h2>2. Intellectual Property</h2>
<p>All music, beats, images, graphics, text, logos, code, and other content are owned by <strong>Ace of Diamonds Music</strong> or
licensed to us. Except as expressly permitted, you may not copy, modify, distribute, perform, display, or create derivative works
without prior written consent.</p>
<h2>3. Music Licensing</h2>
<p>Purchases of beats or instrumentals are governed by the license shown at checkout or on the product page (e.g., terms for streaming,
recording, broadcast, and commercial release). <strong>Unauthorized resale, redistribution, fingerprint/ContentID hijacking,
or claiming ownership is strictly prohibited.</strong></p>
<p><strong>Digital Goods.</strong> Unless required by law, <em>all sales are final</em> once files are delivered or licenses are issued.</p>
<h2>4. Gaming Tournaments</h2>
<p>Participation in Madden NFL or other esports tournaments is voluntary and subject to the posted tournament rules. We are not responsible
for connection issues, platform outages, or disputes between participants. Cheating, exploitation, or abusive behavior may result in
disqualification without refund. Winners may be required to complete eligibility verification and tax forms where applicable. Prizes,
if any, will be awarded per the official rules.</p>
<p><strong>Minimum Age:</strong> You must be at least 18 years old (or the age of majority in your jurisdiction) to enter paid or prize-bearing tournaments.</p>
<h2>5. Cryptocurrency & AOD Coin</h2>
<p>We have minted and issued a digital token known as <strong>AOD Coin</strong>. AOD Coin is intended solely for community,
entertainment, and utility purposes (e.g., access to select music content, events, or digital experiences within the Ace of Diamonds
ecosystem). <strong>AOD Coin is not legal tender.</strong> It is not backed by any government or financial institution and does not
represent equity, security, or ownership in Ace of Diamonds Music.</p>
<p><strong>No Investment; No Profit Expectation.</strong> AOD Coin is not an investment product. We make no promises or representations
regarding price, liquidity, or future value. Nothing on the Site constitutes financial, legal, or tax advice.</p>
<p><strong>User Responsibility & Risk.</strong> By acquiring, holding, or using AOD Coin, you acknowledge and agree that:

<li>You assume all risks associated with wallets, private keys, smart contracts, network fees, and blockchain transactions.</li>
<li>We do not provide wallet custody and are not responsible for lost keys, lost access, or unauthorized transactions.</li>
<li>AOD Coin may be unavailable, restricted, or unlawful in some jurisdictions; you are solely responsible for compliance with local laws.</li>
<li>You are responsible for any taxes, reporting, and regulatory obligations arising from your activities.</li>
<li>We may, at our discretion, impose or modify eligibility, KYC/AML checks, transfer limitations, or utility features to comply with law.</li>
</ul>

<h2>6. Financial / Stock Market Content</h2>
<p>Daily penny stock alerts, market updates, and related commentary are provided for <strong>informational and educational purposes only</strong>.
We are not registered investment advisers, brokers, or dealers, and we do not provide personalized financial advice. You are solely
responsible for your investment decisions and outcomes. Past performance does not guarantee future results. Markets involve substantial risk,
including loss of principal.</p>
<h2>7. Limitation of Liability</h2>
<p>To the fullest extent permitted by law, we (and our owners, officers, employees, contractors, and affiliates) shall not be liable for any
indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or other
intangible losses, arising out of or related to your use of the Site, our content, music products, tournaments, alerts, or AOD Coin.
Our aggregate liability to you for any claim will not exceed the amount you paid to us in the 12 months preceding the event giving rise to
the claim, or <strong>$100</strong>, whichever is greater.</p>
<h2>8. Privacy</h2>
<p>We may collect and process personal data as described in our <strong>Privacy Policy</strong>. By using the Site, you consent to such
collection and processing. Do not submit sensitive information that you do not wish to share.</p>
<h2>9. Age Requirement</h2>
<p>You must be at least <strong>13 years old</strong> to use the Site. For tournaments with prizes and for any financial/crypto-related
activities, you must be <strong>18+</strong> or the age of majority in your jurisdiction.</p>
<h2>10. Modifications</h2>
<p>We may update the Site or these Terms at any time. Changes are effective upon posting. Your continued use after changes constitutes
acceptance of the updated Terms.</p>
<h2>11. Governing Law</h2>
<p>These Terms are governed by the laws of the <strong>State of Nevada, United States</strong>, without regard to conflict of law rules.
You agree to the exclusive jurisdiction and venue of the state and federal courts located in <strong>Clark County, Las Vegas, Nevada</strong>
for any dispute arising out of or relating to these Terms or the Site.</p>
